PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING STARTUP OS. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.

1. Parties and Agreement

1.1 These Terms of Service ("Terms") constitute a binding legal agreement between:

(a) You ("User", "Subscriber", "you") — the individual or legal entity accessing or using StaxOps; and

(b) MyFintax Advisors Private Limited, a company incorporated under the Companies Act, 2013 ("Company", "we", "us", "our"), the owner and operator of StaxOps, accessible at staxops.myfintax.in ("Platform").

1.2 If you are accessing the Platform on behalf of a company, partnership, LLP, or other legal entity, you represent that you have authority to bind that entity to these Terms, and all references to "you" include that entity.

1.3 By creating an account, clicking "I Agree", or using any feature of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.4 If you do not agree to these Terms, you must immediately cease use of the Platform.

2. Platform Description

2.1 StaxOps is a Software-as-a-Service ("SaaS") business management platform designed for Indian startups and companies. The Platform provides tools including but not limited to:

(a) Compliance management and calendar (GST, TDS, ROC, PF, ESIC deadlines)
(b) AI-powered legal document generation (Board Resolutions, Agreements, Policies)
(c) Financial management (invoicing, P&L tracking, TDS Centre)
(d) Statutory registers and company secretarial tools
(e) Business calculators and advisory tools
(f) Educational course and ebook content
(g) AI business advisory features

2.2 The Platform is intended solely for use by companies and individuals engaged in lawful business activities in India.

2.3 We reserve the right to modify, add, or discontinue any feature at any time with reasonable prior notice except where modifications are required for security, legal compliance, or emergency operational reasons.

3. Eligibility and Account Registration

3.1 You must be at least 18 years of age and legally capable of entering into contracts under the Indian Contract Act, 1872 to use the Platform.

3.2 You must provide accurate, complete, truthful, and current information during registration including your company's Corporate Identification Number ("CIN"), registered office address, and authorised representative details.

3.3 You are solely responsible for: (a) maintaining the confidentiality and security of your login credentials; (b) all activities conducted under your account; (c) any breach of security or unauthorised access you become aware of — which must be reported to us immediately at support@myfintax.in.

3.4 Each account is for a single legal entity only. Using one account for multiple companies or sharing credentials with persons outside your organisation is strictly prohibited and constitutes a material breach of these Terms.

3.5 We reserve the right to verify your identity and company details at any time and to suspend your account if information provided is found to be false or misleading.

4. Subscription Plans and Payment Terms

4.1 Plans: The Platform is available under (a) Free Plan: Limited feature access at no cost; (b) Growth OS Plan: Full feature access at ₹799 per month or ₹6,999 per year.

4.2 Billing: Paid subscriptions are billed in advance. Subscriptions auto-renew unless cancelled at least 24 hours before renewal date.

4.3 Payment Processing: All payments are processed by Razorpay Payment Solutions Private Limited, a PCI-DSS compliant payment gateway. We do not store, access, or process your card, UPI, or bank account details.

4.4 Taxes: All fees are exclusive of GST. GST at the applicable rate will be charged additionally. Tax invoices will be issued as required under the CGST Act, 2017.

4.5 Refund Policy: (a) Annual plans: refund requests accepted within 7 days of initial purchase if no documents have been generated and no AI credits consumed. (b) Monthly plans: no refund for the current billing period — cancellation takes effect at end of current period. (c) Refunds may be considered at our sole discretion in cases of verified technical failure preventing access for more than 72 continuous hours.

4.6 Price Changes: Existing subscribers will receive 30 days written notice before any price increase takes effect.

4.7 Failed Payments: If payment fails, we will retry up to 3 times over 7 days. Account will be downgraded to Free until resolved.

5. Acceptable Use and Prohibited Conduct

5.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5.2 You must NOT: (a) violate applicable Indian law (Companies Act 2013, Income Tax Act 1961, CGST Act 2017, etc.); (b) upload false, fabricated, or fraudulent company information, financial data, or legal documents; (c) reproduce, copy, distribute, resell, sublicense, or create derivative works of any Platform content; (d) use the Platform or its AI outputs to build a competing product; (e) reverse engineer, decompile, or disassemble the Platform; (f) use automated tools (bots, scrapers, crawlers) without our written permission; (g) bypass security or subscription enforcement; (h) share or transfer your account credentials; (i) upload malware; (j) harass, defame, threaten, or harm any person; (k) misrepresent AI-generated content as professional advice; (l) damage or impair the Platform's infrastructure.

5.3 Violation of any provision of this Clause 5 constitutes a material breach and entitles us to immediately suspend or terminate your account without refund and without prejudice to any other legal remedy.

6. Intellectual Property

6.1 Ownership: The Platform and all its components are the exclusive intellectual property of MyFintax Advisors Private Limited, protected under the Copyright Act, 1957, the Trade Marks Act, 1999 (covering "StaxOps", "MyFintax", and "Apna CA Khud Bano"), and applicable international IP laws.

6.2 Licence to User: Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business purposes during your active subscription period.

6.3 Restrictions: This licence excludes any right to copy or redistribute Platform content, resell legal templates generated on the Platform, share course videos or ebook content, or use Platform branding without our written consent.

6.4 User Data Ownership: You retain full ownership of all company data, financial records, and business information you upload. We do not claim ownership of your business data.

6.5 Limited Data Licence: You grant us a limited, non-exclusive licence to process, store, and use your data solely to provide Platform services and as described in our Privacy Policy.

6.6 Feedback: Any suggestions or feedback you provide may be used by us freely without any obligation or compensation.

7. AI-Generated Content — Important Disclaimer

7.1 The Platform uses artificial intelligence to generate legal documents, compliance guidance, financial calculations, SOPs, and advisory content.

7.2 ALL AI-GENERATED CONTENT IS FOR INFORMATIONAL AND GUIDANCE PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX, OR PROFESSIONAL ADVICE.

7.3 Specifically: (a) legal documents should be reviewed by a qualified Advocate or Company Secretary before execution or filing; (b) compliance information should be verified with your CA or CS; (c) financial calculations are indicative only; (d) AI Department responses are not a substitute for professional consultation.

7.4 Use of AI-generated content without professional review is entirely at your own risk. We expressly disclaim all liability for consequences arising from such reliance.

7.5 AI-generated outputs may contain errors. The accuracy depends on the accuracy of information you provide.

8. Educational Content

8.1 The StaxOps course "Apna CA Khud Bano" and accompanying ebook are copyrighted educational materials owned by MyFintax Advisors Private Limited.

8.2 Course access is subject to your subscription plan.

8.3 You are strictly prohibited from: (a) recording, downloading, or screen-capturing course videos; (b) sharing course access credentials; (c) redistributing course content; (d) using course content for commercial training.

8.4 All course videos are watermarked with your name and email. Unauthorised sharing is traceable and actionable under the Copyright Act, 1957.

8.5 Violation may result in immediate account termination and legal action.

9. Third-Party Services

9.1 The Platform integrates with third-party services including Razorpay (payments), Vimeo (video hosting), and cloud infrastructure providers. Use is subject to their respective terms.

9.2 We are not responsible for the availability, accuracy, or reliability of third-party services.

9.3 External links do not constitute our endorsement.

10. Disclaimers and Limitation of Liability

10.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

10.2 We do not warrant that (a) the Platform will be uninterrupted or error-free; (b) AI-generated content will be accurate or suitable for your situation; (c) the Platform will meet all your compliance requirements without professional CA/CS involvement; (d) data will never be lost due to technical failures.

10.3 Maximum Liability: Our total liability for any claim shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the claim.

10.4 Excluded Damages: We shall not be liable for any indirect, consequential, incidental, special, or punitive damages; loss of business, profit, revenue, data, or goodwill; compliance penalties; third-party service failures; or losses from unauthorised account access due to your failure to maintain credential security.

10.5 Professional Advice Disclaimer: StaxOps is a technology tool and does not provide legal, financial, tax, or professional advisory services.

11. Indemnification

You agree to indemnify, defend, and hold harmless MyFintax Advisors Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of the Platform in violation of applicable law; (c) false or inaccurate information provided by you; (d) your infringement of any third-party IP or other rights; (e) any dispute between you and a third party arising from your use of documents generated on the Platform.

12. Grievance Officer

As required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021:

All grievances must be submitted in writing with subject line: "Grievance: [brief description]".

13. Account Suspension and Termination

13.1 We may suspend or terminate your account immediately if you violate these Terms; we suspect fraudulent or illegal activity; required by law; or continued access poses a security risk.

13.2 You may terminate your account at any time. Termination does not entitle you to refund except as in Clause 4.5.

13.3 Upon termination: (a) access ends immediately; (b) data is retained for 90 days then permanently deleted; (c) downloaded documents remain yours; (d) IP, disclaimers, and indemnification provisions survive termination.

14. Governing Law and Dispute Resolution

14.1 These Terms are governed by the laws of India.

14.2 Dispute Resolution Process: Step 1 — raise dispute with Grievance Officer at support@myfintax.in (resolution attempted within 30 days). Step 2 — if unresolved, refer to arbitration under the Arbitration and Conciliation Act, 1996. Step 3 — sole arbitrator mutually appointed; seat: Bhilai, Chhattisgarh; language: English or Hindi.

14.3 For urgent injunctive relief, Courts at Durg/Bhilai, Chhattisgarh shall have exclusive jurisdiction.

14.4 Class Action Waiver: Disputes will be resolved on an individual basis only.

15. General Provisions

15.1 Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.

15.2 Severability: If any provision is invalid, the remaining provisions remain in full force.

15.3 Waiver: Our failure to enforce any right does not constitute a waiver.

15.4 Assignment: You may not assign your rights without our written consent. We may assign without restriction.

15.5 Force Majeure: We are not liable for delays caused by events beyond our reasonable control.

15.6 Notices: Notices to you sent to your registered email. Notices to us must be sent to support@myfintax.in.
